feat(company): ideell förening as a third legal form, behind a flag (#2072 step 1) (#2423)
* feat(company): ideell förening as a third legal form, behind a flag (#2072 step 1) Why the problem occurred: the legal form was modelled as a binary flag in ~300 files. `EntityType` was a two-member union, but nothing dispatched on it exhaustively: 28 sites defaulted `?? 'enskild_firma'` (invoice, categorize, match, stripe, invoice-inbox) or `?? 'aktiebolag'` (year-end, bokslut, MCP), and every form-dependent choice was an `=== 'aktiebolag' ? A : B` ternary. Widening the union compiled everywhere and changed nothing, so a förening would have booked as an enskild firma in the app and as an aktiebolag in bokslut and MCP, with no error anywhere. The lookup refused föreningar at the door (mapEntityType returned null), which is what the tester hit. What was removed or simplified: the silent defaults. One module, lib/company/entity-type.ts, now holds the list (ENTITY_TYPES), the parser (never defaults), the resolver (settings hint, then companies.entity_type, then throw) and `byEntityType`, whose Record arms make the compiler refuse the next widening until each site has an answer. The form-dependent facts (closing account, owner settlement account, calendar-year lock, default method, K1/K2 label, personnummer vs 16-prefix) live there once instead of in the ternaries. On the SQL side supported_entity_types() replaces four copies of the literal list in the create RPCs. Why this shape and not the proposed one: the tracker asked for the enum widening plus a chart; that alone was the dangerous version (compiles, books wrong). Bundling stiftelse was considered and dropped: identical plumbing but no chart block. Creation sits behind NEXT_PUBLIC_IDEELL_FORENING_ENABLED so the CHECK, RPCs and seed can ship now and the first partner is switched on without a migration; the flag goes when Phase 2 (packs, INK3, årsbokslut, Swish) lands on the tracker. Domain choices (DECISIONS.md 2026-09-08, verify with an accountant before Phase 2): result closes to 2069 with 2068 as prior-year carry; no owner accounts, member settlement on 2890; accrual default; brutet räkenskapsår allowed; K1 label for the 5 000 kr accrual threshold (BFNAR 2010:1); org number gets the 16 prefix. Migration 20260908110835 widens the three CHECK constraints, adds supported_entity_types(), re-creates the three create RPCs with the widened guard and adds the förening block to seed_chart_of_accounts. Applied to staging and covered by ideell-forening-entity-type.pg.test.ts. Part of #2072 Co-Authored-By: Claude Fable 5.1 <noreply@anthropic.com> Claude-Session: https://claude.ai/code/session_01PdGafpUA7jVV1oYjkwfQCh * fix(company): close the förening paths the skeptic refuted (#2072) Five refutations from the /skeptic pass on 7a05c54d2, each fixed at the shared definition rather than the reported site: 1. Privately paid supplier invoices and the utlägg dialog resolved the owner account in lib/expenses/payer.ts with its own AB/EF ternary, so a förening member's invoice was built on 2893 and then refused by the expense-claim service (which already said 2890), burning an ankomstnummer. The helper now uses ownerSettlementAccount. 2. Booking templates substitute their `_ab` accounts only for an aktiebolag; the `private_expense` template kept its base 2013 for a förening. Template accounts now resolve through templateAccountForForm: EF base, AB override, förening base with owner accounts translated to 2890 (booking-templates.ts and proposal-lines.ts share it). 3. A VAT-registered förening with helårsmoms got no momsdeklaration deadline: the annual VAT rule bailed on anything but AB/EF. A förening is a juridisk person and follows the räkenskapsår schedule (SFL 26 kap 33 §), so the rule now keys on fiscalYearLockedToCalendar instead of the two literals; same in the MCP VAT report. 4. 2069 would have accumulated across years: the year-open omföring was AB-only with 2099/2098 hard-coded. planResultAppropriation now takes the pair from resultClosingAccounts (AB 2099 -> 2098, förening 2069 -> 2068) and skips forms with no carry (EF). 5. With the flag off, a registry lookup that returned "Ideell förening" was prefilled into the onboarding journey, the form picker was skipped and the create step answered "Ogiltig företagsform" with no way back. The journey, the BankID picker, the onboarding page and the MCP lookup now use mapSetupEntityType, which maps only creatable forms, so a flagged-off form falls through to the picker as before. Also: form picker keeps its AB-first order; tests for each fix. fix(bokslut): kontantmetod cut-off treats the ROT/RUT share as settled on 1513 (#2278)
* fix(bokslut): kontantmetod cut-off treats the ROT/RUT share as settled on 1513 Root cause: collectKontantmetodCutoff compared invoice_payments against the gross invoice total and never read deduction_total. Under fakturamodellen the customer owes total minus the skattereduktion; the deduction is a fordran on Skatteverket carried on 1513 by the payment voucher (Dr 1930 customer share / Dr 1513 deduction / Cr 30xx / Cr 26xx in full), and every settlement path records the customer share as the payment row amount. A fully paid ROT/RUT invoice therefore showed exactly deduction_total as outstanding, and the year-end cut-off booked a phantom Dr 1510 / Cr 30xx / Cr 2618 on top of a sale whose revenue and moms were already fully recognised: revenue overstated and vilande moms invented. Fix: the customer's outstanding is total - deduction_total - paid (the deduction follows the sign of the total, since credit notes store it as a positive magnitude), floored at zero on the invoice's own side for over-collection noise, mirroring the invoices_remaining_amount_guard formula. The moms carried into the cut-off is scaled by the customer share, not the gross total, so an unpaid ROT/RUT invoice reports its whole moms in the final period and a part-paid one the matching fraction. Invoices without a deduction take the unchanged gross path. The readiness gate, the pending-operation executor and the MCP tool all consume this collector, so they inherit the fix. The Skatteverket share itself (an unpaid ROT/RUT invoice's 1513 fordran at year end) is not part of the cut-off and stays a separate change, as is the 1513 point already deferred on the currency revaluation. Fixes #2248 Co-Authored-By: Claude Fable 5.1 <noreply@anthropic.com> Claude-Session: https://claude.ai/code/session_015qgLgdt4mLmha1ZLFMwq1u * refactor(invoices): one definition of the customer share of an invoice The customer share of an invoice (total minus the ROT/RUT deduction, and what remains of it after payments) was re-derived by hand at three TypeScript sites plus the SQL guard invoices_remaining_amount_guard, and the kontantmetod cut-off's copy had drifted to the gross total (#2248). Fixing the cut-off's arithmetic alone would leave the next copy free to drift the same way. lib/invoices/customer-share.ts now holds the definition: invoiceCustomerShare(invoice) returns total minus sign(total) times deduction_total (the deduction is stored as a positive magnitude, also on credit notes), and invoiceCustomerOutstanding(invoice, paid) returns the signed residual after payments. The module comment names the SQL twin (migration 20260817191708) so the two stay in lockstep; the SQL is untouched. Call sites moved onto the helper with byte-identical behaviour: kontantmetod-cutoff.ts (keeps its as-of payment sum, the sign-aware zero floor for ROT/RUT rows and the moms scaling), rot-rut-file.ts (the customer-share-paid test) and payment-sync.ts (the storno path, which still floors with Math.max(0, ...) because it persists the column). Plain invoices get their total back exactly as stored, so their paths do not change by a bit. New unit tests cover plain, ROT/RUT, credit-note sign, null deduction and the lockstep with the guard's formula. feat(bokslut): kontantmetoden year-end cut-off for fordringar and skulder (#1432)
* feat(bokslut): kontantmetoden year-end cut-off for fordringar and skulder Under kontantmetoden nothing reaches 1510/2440 during the year, but BFL 5 kap 2 § still requires fordringar och skulder to be booked at rakenskapsarets utgang. That conversion did not exist: the AR/AP tie-outs were permanently unreconciled by construction for all cash companies, and the balance sheet omitted every open invoice. Adds lib/core/bookkeeping/kontantmetod-cutoff.ts: Fordringar: Debit 1510 / Credit 30xx / Credit 2618|2628|2638 Skulder: Debit 4-6xxx / Debit 2648 / Credit 2440 Moms goes to the VILANDE accounts, never 2611/2641. Under bokslutsmetoden moms is reported at payment, and the vilande accounts are deliberately absent from ACCOUNT_RUTA / ACCOUNT_TO_BOX, so parking it there keeps it out of the momsdeklaration until the invoice is actually paid. Booking it to 2641 would claim the deduction a period early. Two aggregate verifikat, each reversed on day 1 of the next period, and no invoices.journal_entry_id link: the payment flows route on that link, so per-invoice linking would send every new-year payment down the accrual clearing path against a receivable the vandning already removed. Leaving it unset means a new-year payment still books the normal kontantmetoden cash entry at the real payment date. Outstanding is computed from payment DATES, not remaining_amount: an invoice settled in January was still a fordran on 31 December, and reading remaining_amount would shrink the cut-off every day the bokslut is delayed. Surfaced as a bokslut wizard reminder (warning, not a blocker: promoting it would newly block every cash company mid-bokslut, which is a separate call). Co-Authored-By: Claude Opus 5 (1M context) <noreply@anthropic.com> * fix(bokslut): address compliance review on the kontantmetoden cut-off Three findings from the Swedish compliance review, all real: 1. BFL 5 kap 6-7 § traceability. The aggregate verifikat collected invoice references but never wrote them, so an examiner could not trace the 1510/2440 posting back to the affarshandelser behind it. Invoice numbers now go into the entry `notes` via buildCutoffNote(), truncated past 50 so the note stays a pointer to the reskontra rather than a copy of it. 2. Non-atomic posting. The cut-off and its vandning were two sequential creates with no rollback: if the reversal threw, 1510/2440 stayed permanently inflated and every new-year payment would double-book, which is exactly what the module docstring warns about. postKontantmetodCutoff now asserts the target period exists, is open, and contains the reversal date BEFORE posting anything, so the common failures refuse without writing. If a reversal still fails after its cut-off committed, the cut-off is stornoed through reverseEntry() (BFL 5 kap 5 §: never edit or delete a posted entry) and the original error is rethrown. 3. Silent vat_treatment default. Missing vat_treatment fell back to 25 %, which would route a 12/6/undantagen invoice to the wrong vilande account AND the wrong revenue account. Such rows are now collected into CutoffCollection.unknownVatTreatment, excluded from the cut-off, refused by the posting step, and surfaced as their own wizard reminder. Adds 11 cases for postKontantmetodCutoff, which had none: every refusal path asserts nothing was posted, and the storno-compensation path is covered in both the happy and the storno-also-failed direction. Co-Authored-By: Claude Opus 5 (1M context) <noreply@anthropic.com> * fix(bokslut): never split a reverse charge across the cut-off Second compliance round. Verified the three data-dependent findings against production before changing anything; two needed no change, one is hardened: - Credit notes are NOT silently dropped: all 22 credit notes on prod carry document_type='invoice', so they are inside the collected set exactly as the comment claims. The filter only excludes proforma and delivery_note. - Vilande account numbers verified against the BAS 2026 chart in lib/bookkeeping/bas-data: 2618/2628/2638 utgaende, 2648 ingaende. The suggested 2617/2627/2637 do not exist. - Reverse charge: all 123 RC supplier invoices on prod carry vat_amount = 0, so no RC moms could reach 2648 today. That was an implicit data invariant, not an enforced one. CutoffPayable now carries reverseCharge and forces the cut-off moms to 0 for those rows, so a stray amount can never post a one-sided reverse charge into the single vilande bucket. The self-assessed output/input pair stays with the payment entry, after the vandning. Also names the reskontra as the underlag in a truncated aggregate note, so the verifikat points at its specification rather than implying the listed subset is the whole of it. Co-Authored-By: Claude Opus 5 (1M context) <noreply@anthropic.com> * fix(bokslut): surface stray moms on momsfri invoices instead of absorbing it Third compliance round, one legitimate new finding: moms on a treatment that cannot carry Swedish output moms (export, omvand betalningsskyldighet, undantagen) was folded into the revenue line with only a log.warn. That balances the verifikat while silently swallowing a real invoicing error, which is the netting the swedish-vat reference prohibits, and it was inconsistent with how the same module already treats a missing vat_treatment. Those rows now travel the same path as a missing treatment: collected into CutoffCollection.strayVatOnZeroRate, excluded from the cut-off, refused by the posting step, and surfaced as their own wizard reminder. buildCutoffLines keeps its balancing fallback for the case where such a row reaches it directly: it is now a last resort rather than the normal path, and it must still never invent a moms account nor unbalance the verifikat.
